REFUND & BILLING POLICY

1. Purpose

This Refund & Billing Policy governs all payments made to LBBH AI Solutions (“Company,” “we,” “our,” or “us”) for consulting services, AI system development, automation implementation, subscription services, and related offerings (collectively, “Services”).

This Policy is incorporated by reference into our Terms of Service and any applicable Service Agreement.

By purchasing Services, you agree to this Policy.

2. General Payment Terms

All fees are:

• Quoted in U.S. Dollars unless otherwise stated

• Due as outlined in proposals, invoices, or service agreements

• Considered earned upon commencement of work

Failure to pay on time may result in suspension or termination of Services.

3. Deposits

For custom services including but not limited to:

• AI system builds

• CRM configuration

• Funnel development

• Automation setup

• Strategic consulting

A deposit is required before work begins.

Deposit Terms:

• Deposits are non-refundable once work has commenced.

• “Commencement of work” includes planning, architecture design, research, platform configuration, or allocation of personnel.

• Deposits compensate for intellectual labor, system design, and resource allocation.

4. Milestone-Based Projects

For projects structured in milestones:

• Payments are due upon milestone completion or as defined in your agreement.

• Once a milestone is delivered, that portion of payment becomes non-refundable.

• Client approval, feedback delay, or lack of communication does not entitle Client to refund.

5. Strategy Sessions & Consulting

All strategy sessions, consulting calls, audits, and advisory services are:

• Non-refundable once delivered

• Considered completed upon provision of live session or written analysis

Rescheduling may be permitted at Company’s discretion.

6. Subscription & Recurring Services

For recurring services including but not limited to:

• CRM management

• Automation maintenance

• Hosting services

• AI monitoring

• Support retainers

Billing Terms:

• Subscriptions renew automatically unless canceled in writing.

• Cancellation must be submitted prior to renewal date.

• No prorated refunds are issued for partial billing periods.

• Access continues through the end of the paid billing cycle.

Failure to cancel prior to renewal does not entitle Client to refund.

7. Hosting & Platform Fees

Hosting or platform-related fees are:

• Non-refundable once billed

• Charged to maintain system availability and infrastructure

Company is not responsible for refunds due to third-party platform outages.

8. Custom AI & Automation Systems

Due to the customized nature of AI system development:

• All payments for completed system builds are non-refundable.

• Intellectual labor, architecture planning, and implementation are considered earned services.

• Dissatisfaction with performance outcomes does not constitute grounds for refund.

AI performance is dependent on user inputs, market conditions, third-party platforms, and regulatory constraints.

9. Performance-Based Refunds

Company does not offer performance-based guarantees unless explicitly stated in a signed agreement.

Revenue outcomes, lead generation, automation performance, and marketing results are variable and not grounds for refund.

10. Client Delays

Client delays in providing:

• Required information

• Platform access

• Approvals

• Assets

Do not entitle Client to refund or fee reduction.

Project timelines may be adjusted accordingly.

11. Chargebacks & Payment Disputes

Initiating a chargeback without first attempting written resolution constitutes a material breach of agreement.

In the event of a chargeback:

• Company reserves the right to suspend Services immediately.

• Company may pursue recovery of disputed funds.

• Client may be responsible for chargeback fees, administrative costs, and legal expenses.

Company reserves the right to provide contracts, communications, and service evidence to financial institutions.

12. Disputed Charges

If Client disputes a charge, written notice must be provided within seven (7) calendar days of invoice date.

Failure to provide timely notice constitutes acceptance of the charge.

13. Payment Methods

Payments may be processed through third-party payment processors.

Company is not responsible for:

• Processing delays

• Banking errors

• Payment processor disputes

• Foreign transaction fees

14. Taxes

Client is responsible for:

• Applicable sales taxes

• VAT

• Withholding taxes

• Government fees

Unless otherwise stated in writing.

15. Late Payments

Late payments may result in:

• Service suspension

• Late fees (if outlined in agreement)

• Loss of system access

• Termination of contract

Reactivation may require additional fees.

16. Refund Exceptions

Refunds may be granted at Company’s sole discretion in extraordinary circumstances.

Granting a refund in one instance does not establish precedent.

17. Termination of Services

If Client terminates Services:

• No refunds are issued for completed work.

• Subscription fees remain non-refundable for the current billing period.

• Deposits remain non-refundable.

If Company terminates Services due to Client violation, no refund shall be issued.

18. Intellectual Property & Payment

Until full payment is received:

• Company retains ownership of deliverables.

• Client license rights may be revoked.

Unauthorized use of unpaid deliverables constitutes infringement.

19. Limitation of Liability

To the maximum extent permitted by law:

Company shall not be liable for indirect, incidental, consequential, or punitive damages arising from billing disputes.

Total liability shall not exceed fees paid within the preceding three (3) months.

20. Amendments

Company reserves the right to modify this Policy at any time.

Updated versions will be posted with revised effective date.

Continued use constitutes acceptance.
